These Terms of Service (“Terms”) constitute a legal agreement between you (“Client,” “you,” or “your”) and Rocket IT Solutions (“we,” “us,” or “our”) regarding the use of our IT consulting services, managed services, mobile and web applications (including BillWarden), and all related offerings (collectively, the “Services”).
1. Scope of Services
Rocket IT Solutions provides professional IT services including, but not limited to:
• IT consulting and support
• Cloud services and backup
• Network monitoring and security
• Atlassian administration
• Custom application support and development
• Access to our tools such as the BillWarden app
All services are outlined in a written proposal or agreement before initiation.
2. Service Terms and Payment
• Services are provided on an hourly, retainer, or package basis as agreed upon in writing.
• Payment is due as specified in the invoice, typically within 15 days unless otherwise stated.
• Late payments may incur fees or result in a temporary suspension of services.
• Rocket IT Solutions reserves the right to adjust pricing with 30 days’ written notice.
3. Client Responsibilities
• Provide timely access to necessary systems, information, and staff.
• Maintain appropriate licenses and authorizations for any third-party software we interact with on your behalf.
• Inform Rocket IT Solutions of any relevant changes to your systems or business that may impact the services provided.
4. Confidentiality
Rocket IT Solutions agrees to treat all client data and proprietary information as confidential. We will not disclose such information to third parties except as required by law or with your consent.
5. Data Security
We implement reasonable security measures to protect your data. However, Rocket IT Solutions is not responsible for any breaches caused by external attacks, misuse by client personnel, or third-party integrations outside our control.
6. Intellectual Property
Unless explicitly transferred in writing, all custom scripts, configurations, and deliverables created by Rocket IT Solutions remain the intellectual property of Rocket IT Solutions. Clients are granted a non-exclusive license for internal business use.
7. Termination of Services
You or Rocket IT Solutions may terminate services at any time with written notice. Upon termination:
• Outstanding payments become due immediately.
• Rocket IT Solutions will provide final deliverables and documentation within a reasonable time.
8. Limited Liability
Rocket IT Solutions shall not be liable for:
• Any indirect, incidental, or consequential damages.
• Data loss caused by system failure, breach, or improper configuration outside our control.
• Downtime or delays caused by third-party services, hardware failures, or client-side issues.
Our total liability shall not exceed the amount paid by the client for services within the last 3 months.
9. Dispute Resolution
Any disputes will be resolved in accordance with the laws of the State of [Insert Your State]. In the event of a dispute, both parties agree to attempt resolution through informal means before pursuing legal action.
10. Modifications
